The Hawke’s Bay Tourism Industry Association Annual General Meeting will be held on 29 September 2016 commencing at 6.00pm at the Art Deco Masonic Hotel.

Note 1 Proposed Amendments to the HBTIA Constitution

The HBTIA Board has reviewed the constitution of Hawke’s Bay Tourism Industry Association Incorporated and recommends amendments to update the document to reflect current operations.  The constitution was last amended in 2014.  The main amendments include:

  • Removing reference to outdated Income Tax legislation and including an additional charitable purposes clause to reflect current drafting practice for maintaining charitable status;
  • Expressly referring to the association exercising its functions via a wholly owned subsidiary (in this case Hawke’s Bay Tourism Limited) and expressly empowering the association to appoint and remove directors to that subsidiary;
  • Making terminology consistent throughout the document;
  • Enabling voting by email or text message as well as by post;
  • Clarifying the term of office for board members and including a requirement that no member is eligible for election to the board unless they have been a member of the association for not less than 12 months immediately preceding the election date;
  • Including provisions to enable the chairperson to remove board members who consistently and without good reason fail to attend board meetings or who undermine or bring into disrepute the association, the board or any subsidiary;
  • Reflecting that all members are entitled to attend meetings of the Tourism Industry Consultation Group.

Note 2 Elections
There are three vacancies in total.
Retiring by rotation as per the constitution are:   Michele Cole, Megan Harris and Will Van Asch.
As per Clause 6.2.4 (c) these members may offer themselves for re-election.
Sitting Members are:
Neil Barber, Louise Stobart, Diane Ross and Michael Henley

Nominations for the three (3) places on the board will close at 4 pm on Friday 16 September 2016. If insufficient nominations are received by the closing date nominations will be called from the floor on the day of the meeting.
